1) Agreement to Terms

These Terms & Conditions ("Terms") govern your purchase, access, and use of our websites, programs, products, services, subscriptions, communities, templates, trainings, and any related materials (collectively, the "Services").

Company means The Mm-hmm Shop LLC, a Colorado limited liability company, doing business as Ultimate Online Revenue and Bot Your Brain ("Company," "we," "us," "our"). You means the purchaser, user, or visitor ("you," "your").

By using the Services, you agree to these Terms and our Privacy Policy.

2) Eligibility

You must be 18+ and able to form a binding contract.

3) What We Provide (and What We Don't)

We provide AI-assisted systems, conversational AI products (including Your Business Brain in Pro, Premium, and Platinum tiers), live in-person events (Build Day), Build Day Starter Packs (productized AI systems delivered as installable software you own), prompt libraries, judgment-extraction workflows, and related education and support.

We do not provide legal, tax, accounting, or financial advice. We do not guarantee outcomes (revenue, audience growth, engagement, conversions, brand performance, etc.). Results depend on your inputs, decisions, implementation, market, and other factors outside our control.

4) AI + Third-Party Tools

Our Services may use or integrate with third-party vendors, including:

  • Stripe, PayPal (payments)
  • Kajabi (course/membership delivery)
  • Content Creator Machine / GoHighLevel-based platform (CRM, automation, messaging, etc.)
  • Anthropic products (Claude API, Claude Agent SDK), OpenAI products (ChatGPT, OpenAI API), and other AI tools

You acknowledge:

  • Third-party tools may change, degrade, become unavailable, or alter features/pricing.
  • AI outputs may be inaccurate, incomplete, biased, or inappropriate.
  • You are responsible for reviewing and approving anything before publishing or acting on it.
  • We are not responsible for third-party outages or tool behavior.

5) Accounts, Access, and Security

If your purchase includes an account/login:

  • You must provide accurate info and keep your login secure.
  • No credential sharing unless we explicitly allow it in writing.
  • We may suspend or terminate access for misuse or violation of these Terms.

6) Payments, Renewals, and Billing

Payments are processed by Stripe, PayPal and/or other processors we use from time to time.

Subscriptions / Recurring Billing

If you enroll in a subscription (monthly/quarterly/annual), you authorize us to charge your payment method on a recurring basis until canceled.

  • Cancellation: You must cancel before the renewal date to avoid future charges.
  • No proration: We do not provide prorated refunds for partial periods unless required by law.

Trials / Low-Ticket Entry Offers

Trials or low-ticket offers (e.g., $22 trial) are billed as displayed at checkout and governed by the terms shown at purchase.

Build Day (paid in full at registration)

Build Day registrations are billed in full at the time of purchase ($3,500 for Cohorts 1-2, or the price displayed at checkout for your specific cohort). Payment plans are not the standard offering and are granted only on a case-by-case basis at Company discretion.

Payment Plans (where granted)

If you purchase via a payment plan that we have explicitly approved:

  • You agree to pay the full plan amount.
  • Missed payments may result in suspension of access.
  • Balances remain due even if you stop using the Services.

7) Refund Policy

General rule

Unless a specific written refund guarantee is provided at checkout or in a signed agreement:

  • All sales are final.
  • No refunds for dissatisfaction, non-use, or "not getting results."
  • Digital access and digital deliverables are considered delivered upon provision.

Build Day refund and cancellation policy

Build Day registrations are subject to the following cancellation policy, which supersedes the general rule above for Build Day purchases specifically.

Cancel 14 or more days before your Build Day. $2,500 of your $3,500 registration is refunded to your original payment method. $1,000 is retained as a non-refundable cancellation fee. The retained $1,000 reflects Premium Month 1 access activated at registration, Prep Mode services initiated upon registration, and the held seat in a capacity-limited cohort. At your election, the retained $1,000 may be converted to a non-cash credit toward a future Build Day cohort or a standalone Starter Pack purchase, valid for 12 months from your original purchase date.

Cancel within 14 days of your Build Day, more than 7 days before the event. Your registration is non-refundable. Your seat is transferable to a future Build Day cohort (subject to availability and the next cohort's published price) or to a designated team member at any time. You retain access to your Build Day Starter Pack materials and your included Premium Month 1 access continues for the remainder of the 30-day period.

Cancel within 7 days of your Build Day. Your registration is non-refundable and is no longer transferable to a future cohort. Your seat remains transferable to a designated team member, including on the day of the event. You retain access to your Build Day Starter Pack materials and your included Premium Month 1 access continues for the remainder of the 30-day period.

Standalone Starter Pack purchases

Standalone Build Day Starter Pack purchases ($2,500 for a first Pack, $2,000 for additional Packs) are final upon delivery of the Pack files. Delivery is considered complete when the Pack zip archive is made available for download to your account. Cancellation of any associated Your Business Brain subscription does not entitle you to a refund of a purchased Pack and does not affect your continued ownership and use of the Pack files.

Hardship exceptions

In genuine hardship circumstances (serious illness, bereavement, force majeure events affecting your ability to attend), you may request an exception to the standard refund policy by emailing [email protected]. Exceptions are at Company discretion and are not guaranteed.

EU and UK buyers

For buyers based in the European Union or the United Kingdom, distance-selling regulations may grant a 14-day right of withdrawal on digital goods. Because our digital deliverables (Build Day Starter Pack files, Your Business Brain access) are made available immediately upon purchase, we ask EU and UK buyers to expressly waive the 14-day withdrawal right at checkout by checking a confirmation box: "For buyers in the EU/UK: I understand that this is a digital product made available to me immediately, and I expressly waive my 14-day right of withdrawal under applicable distance-selling regulations." By checking this box you confirm the waiver. Build Day registrations remain governed by the Build Day refund and cancellation policy above regardless of buyer location.

8) Intellectual Property + License

General license

All content we provide, including frameworks, prompts, systems, templates, trainings, videos, documents, and methodologies, is owned by the Company or licensed to us.

We grant you a limited, revocable, non-transferable, non-sublicensable license to use the materials for your internal business use only.

You may not:

  • Sell, share, publish, distribute, or sublicense our materials
  • Create derivative products intended to compete with our Services
  • Train another AI model/system on our proprietary materials for resale/redistribution
  • Remove copyright/trademark notices

Build Day Starter Packs — license to the files you receive

Build Day Starter Packs are delivered to you as downloadable files (typically a zip archive containing code, configurations, prompts, scaffolding, and supporting installation materials). You receive a permanent copy of the Pack files and may use them for the internal business operations of your company indefinitely. Your right to use your Pack files survives cancellation of any related Your Business Brain subscription, termination of your other Services, and changes to the Company's product line.

You may install, modify, host, deploy, and continue to use your Pack files for your own business purposes for as long as you wish.

You may NOT:

  • Resell, redistribute, or sublicense the Pack files or any portion of them
  • Share the Pack files with any party who is not a member or contractor of your business actively working on your behalf
  • Publish the Pack files publicly (open repositories, file-sharing services, public posts, etc.)
  • Use the Pack files or any component of them to train another AI model or system that is offered for resale or distribution
  • Create derivative products from the Pack files that are intended to compete with the Company's Services
  • Remove copyright, trademark, or attribution notices included in the Pack files

Hosting, infrastructure, and any required third-party services (including AI API access from Anthropic, OpenAI, or others) needed to operate the Pack are your responsibility. The Company does not host or maintain your Pack installation. The Pack files are yours; how and where you run them is your decision and your operating cost.

The optional connection between your Build Day Starter Pack and an active Your Business Brain subscription is a separate convenience and is not required for the Pack to operate. If your Your Business Brain subscription ends, the Pack continues to function on whatever context you have loaded directly into it.

9) Your Inputs + Limited Permission to Use Them

To deliver the Services, you may submit business info, brand assets, examples, and other materials ("Inputs").

You grant us a limited license to use your Inputs only as needed to provide and improve the Services, provide support, and maintain quality control. We do not claim ownership of your Inputs.

10) Confidentiality (What We'll Do)

We will use commercially reasonable efforts to treat your Inputs and non-public business information as confidential.

However, you acknowledge:

  • If you provide sensitive information into third-party tools (including AI tools), those tools may process/store data under their own policies.
  • We cannot guarantee absolute confidentiality or security of internet-based systems.

11) Acceptable Use

You agree not to use the Services to:

  • violate laws or third-party rights
  • harass, threaten, or abuse others
  • upload malware or attempt unauthorized access
  • scrape, reverse-engineer, or exploit the platform
  • generate unlawful content

12) Disparagement

You agree not to knowingly publish false statements presented as fact about the Company, its owners, or its Services.

13) Disclaimer of Warranties

To the maximum extent permitted by law, the Services are provided "as is" and "as available." We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

14) Limitation of Liability

To the maximum extent permitted by law, we will not be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption.

Our total liability for any claim will not exceed the amount you paid to us in the 12 months before the event giving rise to the claim.

15) Indemnification

You agree to defend, indemnify, and hold harmless the Company and its owners, employees, contractors, and affiliates from claims arising from:

  • your use/misuse of the Services or AI outputs
  • your violation of these Terms
  • your violation of third-party rights or laws

16) Chargebacks

If you have a billing issue, you agree to contact [email protected] first to attempt resolution.

Unauthorized chargebacks may result in:

  • immediate suspension/termination of access
  • submission of evidence to the payment processor
  • denial of future purchases

17) Dispute Resolution (Colorado + Arbitration)

Before filing a claim, you agree to contact us at [email protected] and allow at least 30 days to attempt informal resolution.

If not resolved, you agree that disputes will be resolved by binding arbitration administered by JAMS under its Streamlined Arbitration Rules, on an individual basis. You waive the right to participate in any class action.

  • Arbitration Venue: Colorado (unless we mutually agree otherwise).
  • Governing Law: State of Colorado (without regard to conflict of laws).

18) Termination

We may suspend or terminate access for violation of these Terms, nonpayment, fraud, chargebacks, or misuse.

Upon termination, your license to access subscription Services and other revocable materials ends, and you must stop using Company materials, except that any perpetual Build Day Starter Pack license granted under Section 8 survives termination subject to your continued compliance with these Terms.

19) Changes to Terms

We may update these Terms at any time. The "Last Updated" date controls. Continued use means acceptance.
